Terms of Use

Welcome to Kuubiik. These Terms of Use (“Terms”) govern your access to and use of the Kuubiik website, platform, applications, and all services offered through it (collectively, the “Services” or “Platform”), operated by Kuubiik (“we,” “us,” or “our”).
Please read these Terms carefully before using our Services. By accessing or using any part of the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
1. Overview of Services
Kuubiik is a global provider of outsourcing, recruitment, and AI-driven talent matching. Our Platform includes:
- Job board & talent pool access
- AI-powered matching & shortlisting
- Contractor of Record (COR) services
- Employer services (e.g. candidate management, invoicing, compliance)
- Additional features including messaging, calendar, onboarding tools, integrations
Use of any specific service may be subject to additional terms (e.g. Master Service Agreement, Subscription Terms, COR Contracts). In case of conflict, the specific agreement will prevail over these Terms.
2. Eligibility
To use our Services:
- You must be at least 18 years of age or the legal age of majority in your jurisdiction.
- If you use the Services on behalf of a company, you represent that you have the authority to bind that company to these Terms.
- You agree to comply with all applicable laws and regulations.
3. Account Registration & Responsibilities
- You must register an Account to access most Services.
- By submitting a job application or profile, an Account may be created for you automatically. We will notify you of this and give you control over it.
- You are responsible for maintaining the security of your credentials and all activity under your Account.
- You agree to provide accurate, current, and complete information, and update it as needed.
We reserve the right to suspend or terminate your Account if we suspect fraud, misrepresentation, or non-compliance.
4. Use of Services
You agree to use the Services only for lawful purposes and as permitted by these Terms. Prohibited activities include (but are not limited to):
- Posting false or misleading job ads or profiles
- Discriminatory or illegal recruitment practices
- Scraping, crawling, or harvesting data from the platform
- Using bots or automation to access or interact with the Services
- Reverse engineering, copying, or cloning any aspect of the Platform
- Circumventing security, data access restrictions, or usage limits
- Sharing or misusing private or proprietary information
- Using AI tools on the platform to make solely automated decisions that affect legal rights without human oversight
We reserve the right to investigate and take action against prohibited conduct.
5. AI Services & Automated Matching
Kuubiik uses artificial intelligence (AI) to assist with:
- Resume screening
- Talent matching
- Role suggestions
- Application prioritization
By using these Services, you acknowledge and agree:
- AI results are advisory only and do not constitute decisions.
- We do not use AI to make fully automated decisions without human involvement.
- Your profile data may be used to improve our AI systems (only in aggregated or pseudonymized form).
- You may opt out of AI matching by contacting us.
Employers must not rely solely on AI results for hiring decisions and remain responsible for compliance with applicable laws.
6. Job Seekers & Recruitment
If you are a job seeker:
- You may submit your resume, create a profile, apply for jobs, or be matched to open roles.
- You may choose whether your profile is publicly visible or only accessible to selected employers.
- When applying, your data will be shared with the employer and their representatives.
- Kuubiik is not responsible for the accuracy of job listings or for the hiring decisions of employers.
We do not guarantee job placement, response rates, or interview outcomes.
7. Employers & Clients
If you are an employer:
- You are responsible for your job postings, interactions with candidates, and compliance with employment or contractor laws.
- You may not post fake jobs, misrepresent your company, or misuse candidate data.
- You agree to only use candidate data for hiring-related purposes.
- You remain responsible for decisions made using our matching tools or AI features.
We may suspend your access or remove listings that violate these Terms or applicable law.
8. Contractor of Record (COR) Services
When Kuubiik is engaged to act as a Contractor of Record:
- A separate agreement (COR Terms or Master Service Agreement) will govern onboarding, compliance, and payment responsibilities.
- Kuubiik may process sensitive information, including tax IDs, bank details, ID documents, and contracts.
- You agree to cooperate fully in providing accurate information, documents, and notifications related to your engagement or services.
COR contractors remain independent and are not employees of Kuubiik unless explicitly stated.
9. Payments, Subscriptions & Billing
- Employers may be required to pay fees for premium job posts, recruitment services, or COR onboarding.
- Fees are billed as described in your order or subscription, and are non-refundable unless explicitly agreed.
- Payment processing is managed via secure third-party platforms (e.g. Stripe).
- Kuubiik may act as a Payment Collection Agent for certain contractor payments, but is not liable for any client-side payment issues.
- Failure to pay may result in suspension or cancellation of services.
10. Intellectual Property
- Kuubiik and its licensors retain all rights to the Platform, software, content, trademarks, and designs.
- You retain ownership of any content you submit, but grant Kuubiik a worldwide, royalty-free license to use, reproduce, and display such content to provide our services.
- You must not use Kuubiik’s branding or materials without written permission.
11. Third-Party Services & Integrations
Our Platform may contain links to third-party tools or websites (e.g. Google, Stripe, HubSpot, background check providers).
- We are not responsible for third-party services or their terms.
- Your use of third-party services is subject to their separate policies.
12. Availability & Uptime
Kuubiik aims for 99.5% monthly uptime. However, we may temporarily suspend access for maintenance, upgrades, legal compliance, or technical issues.
We do not guarantee continuous availability and are not liable for service interruptions beyond our control.
13. Data Protection & Privacy
Use of our Services is subject to our Privacy Policy, which explains how we collect, process, and share personal data.
You agree to comply with our Privacy Policy and all applicable data protection laws.
14. Export Controls & Sanctions Compliance
You may not access or use the Services:
- From jurisdictions subject to trade sanctions or embargoes, or
- If you are listed on any applicable restricted party list.
You agree not to use VPNs or other means to bypass these restrictions.
15. Disclaimers
- We provide our Platform and Services “as is” and “as available” with no warranties.
- We do not guarantee hiring outcomes, profile exposure, or candidate performance.
- We disclaim all implied warranties of merchantability, fitness for purpose, or non-infringement.
16. Limitation of Liability
To the extent permitted by law:
- Kuubiik’s total liability is limited to the greater of USD $100 or the total fees paid by you to Kuubiik in the past 12 months.
- We are not liable for indirect, incidental, punitive, or consequential damages, lost profits, or loss of data.
17. Termination
We may suspend or terminate your access if:
- You breach these Terms,
- You misuse the Platform or violate the law, or
- We are legally required to restrict access.
You may terminate your account at any time. Provisions on liability, intellectual property, and dispute resolution survive termination.
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles.
You agree to resolve disputes via:
- Good-faith negotiation, followed by
- Binding arbitration in Singapore, administered in accordance with the applicable rules of the Singapore International Arbitration Centre (SIAC).
- The language of arbitration will be English.
19. Miscellaneous
- Assignment: You may not assign your rights under these Terms without our prior consent.
- No Waiver: Failure to enforce any part of these Terms is not a waiver.
- Severability: If any provision is invalid, the rest remain in effect.
- Force Majeure: We are not liable for delays due to circumstances beyond our control.
- Entire Agreement: These Terms + applicable service agreements constitute the full agreement between you and Kuubiik.
